These Terms of Use (“Terms”) are a legally binding agreement between you (“you,” “your”) and KLıC.gg, Inc. (“KLıC,” “we,” “our,” or “us”) regarding your access to and use of the https://www.klic.gg website, mobile application, and related services (collectively, the “Platform”).

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform and your access may be revoked.

1. Eligibility & Account Use

You must be at least 13 years old to use the Platform. Users under 18 must have the consent and supervision of a parent or legal guardian. The Platform is not directed to, and may not be used by, children under 13. A minor creator may only monetize through a parent or legal guardian who agrees to these Terms and the Creator Agreement on the minor’s behalf.

By using the Platform, you confirm that:

All registration information is accurate
You are legally able to accept these Terms
You are not barred from use under any law

You are responsible for maintaining your account and password security.

2. Changes to Terms

KLıC may update these Terms at any time. We will revise the “Last Updated” date, and continued use of the Platform after changes take effect means you accept the new Terms. These Terms are a living document and may evolve as the Platform and applicable law change.

By using KLıC, you also agree to:

Community Guidelines
DMCA Policy
Creator Agreement (for creators who monetize)
Terms of Sale and Refund Policy (for purchases)

4. License to Use

You are granted a limited, non-transferable license to use KLıC for personal or internal business purposes. You may not:

Reverse-engineer or reproduce KLıC
Use bots or scrapers to extract data
Use the Platform for unlawful or commercial resale

5. Intellectual Property

All content, software, graphics, and marks on KLıC are owned by KLıC or licensed. No rights are granted beyond these Terms.

“KLıC” and associated logos are trademarks of KLıC.gg, Inc.

6. User Content & Streaming

You may upload, post, stream, or transmit content (“User Content”). You retain ownership of your User Content. By submitting it, you grant KLıC a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, distribute, and promote that content as needed to operate, provide, and market the Platform.

You own or have permission to share the content
Your content does not infringe third-party rights
You comply with applicable laws and consents
Your content complies with our Community Guidelines

AI-generated, synthetic, or substantially altered content is subject to these Terms and our Community Guidelines, including any applicable disclosure and labeling requirements.

7. Conduct Rules

Your use of the Platform must comply with our Community Guidelines. Prohibited conduct includes:

Harassment, hate speech, or defamation
Impersonation or phishing
Uploading malware, spam, or malicious code
Circumventing security or moderation tools
Political fundraising or campaign promotion

8. Monetization, Payments & Taxes

KLıC offers monetization features for eligible creators, including channel subscriptions and Digital Access (pay-per-view) events. Creator earnings are governed by the Creator Agreement. KLıC may demonetize content and forfeit or claw back earnings derived from content that violates these Terms, the Creator Agreement, or our Community Guidelines.

Payments and payouts are processed by KLıC’s designated payment and payout providers (currently Xsolla for purchases and Trolley for creator payouts). Purchases made through the Platform are also governed by our Terms of Sale and Refund Policy.

Taxes are handled by these providers, which may collect tax forms (such as a W-9 or W-8) directly from you. KLıC is not a tax-withholding agent, and you are solely responsible for determining and satisfying your own tax obligations.

9. DMCA Policy

To submit a copyright claim, email dmca@klic.gg with:

Your name and contact details
The infringing content URL(s)
A statement of good-faith belief
A sworn statement and your signature

10. Promotions & Endorsements

If you run promotions or giveaways on KLıC, you must:

Comply with all applicable laws
Act as the sole promoter
Include this disclaimer: “This promotion is not affiliated with or sponsored by KLıC.gg, Inc. KLıC.gg, Inc. is not responsible or liable for promotional content.”

Endorsements must comply with FTC and other advertising regulations.

11. Third-Party Links & Accounts

KLıC may link to or integrate with third-party services. We are not responsible for their content or policies. Use at your own risk.

12. Termination

We may suspend or terminate access at our discretion for any reason. If terminated, you may not create a new account without written permission.

You may appeal a suspension or ban by contacting legal@klic.gg. Appeals will be reviewed in good faith.

13. Disclaimer

The Platform is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, KLıC disclaims all warranties, express or implied, and is not liable for interruptions, losses, or errors.

14. Limitation of Liability

KLıC’s total liability is limited to the amount you paid, if any, within the six months preceding the claim. We are not liable for indirect or consequential damages.

15. Indemnification

You agree to indemnify and hold harmless KLıC from claims related to your use of the Platform or violations of these Terms.

16. Dispute Resolution & Arbitration

Disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its rules, on an individual basis.

You and KLıC waive the right to a trial by jury and the right to participate in a class, collective, or representative action. Disputes may not be arbitrated or litigated on a class-wide or consolidated basis.

You may opt out of arbitration within 30 days by emailing legal@klic.gg.

Exceptions apply to intellectual-property disputes and requests for injunctive relief.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Any dispute shall be heard in Wilmington, Delaware.

18. Miscellaneous

These Terms represent the entire agreement between you and KLıC. If any provision is invalid, the remainder remains in effect. KLıC may assign these Terms at any time. For questions, contact legal@klic.gg.
